PSC Inc., Joins STG Family

Fairfax, VA, May 10, 2002 ? STG, Inc. announced today that it has completed the acquisition of PSC, Inc.  PSC is a Washington-based, privately held provider of security and electronic engineering, language services, system engineering and technical assistance, and enterprise network solutions.  This equity purchase allows STG to leverage PSC?s Department of Defense (DoD) presence and more than 20-year history of providing sophisticated solutions to scientific, operational, and management issues for government, military, industrial, utility, and commercial clients.  With more than 200 employees, PSC provides support worldwide in locations such as England, Italy, Sardinia, Crete, Spain, and Sicily.  Windsor Group Securities, LLC represented STG in the acquisition of PSC.  The seller?s representative was John Sanders.

PSC has a long-standing presence and unique experience supporting the Departments of Defense and Justice and large government entities.  Their language services for law enforcement and government provides skills in over 60 languages and access to more than 2,500 translators, analysts, and interpreters.

?PSC is well respected for its commitment to quality results and quick reaction to customer needs, and has garnered an important customer base that provides significant opportunities for growth as homeland security needs expand throughout year 2002 and beyond.  This acquisition further solidifies our position as one of the top prime contractors in the Government IT market and continues our strategy to strengthen our presence in the Department of Defense,? said Simon Lee, President and CEO of STG.

?This acquisition will strengthen both companies, provide an expanded customer base, and promote greater opportunities for PSC?s employees and its customers.  We are very enthusiastic about joining the STG team,? said Bruce Glass, President, PSC.
